CURRENT ISSUES OF CROSS-BORDER ESTABLISHMENT OF COMPANIES IN THE
EUROPEAN UNION

On Friday 23 September 1994 a conference will be held on 'Current
Issues of Cross-Border Establishment of Companies in the European
Union'.

The legal landscape for companies planning to expand or move their
business to other EU Member States by means of a secondary
establishment, merger, joint venture, transfer of their central
management and control or other techniques, is continuously changing.
This conference focuses on a number of current developments at the
European and national level which are of direct interest to such
companies.

Issues dealt with will include: companies' rights under the EC Treaty
to participate in privatisation schemes in other Member States;
current national (especially German and Dutch) developments concerning
the recognition of foreign companies and the law applicable to them;
corporate law aspects of cross-border mergers (the Third and proposed
Tenth Directive on company law); the impact of the Merger Directive
of 23 July 1990 on the tax treatment of cross-border mergers and joint
ventures; problems of cross-border financial distress, bankruptcy and
insolvency of companies; the recent case-law of the EC Court of
Justice on fiscal barriers to cross-border establishment; and recent
developments of company law in the Nordic EEA-countries with a view
to facilitating companies' establishment in these countries.

The conference is organized by METRO, in close cooperation with the
International Affairs Office of the Law Faculty of the University of
Limburg.

After the conference a book containing the conference proceedings will
be published in the Ius Commune Book Series by MAKLU/ NOMOS in
cooperation with Blackstone, Bruylant and Schulthess.

The conference is a Curriculum Development Meeting sponsored by the
European Erasmus Programma. The conference programme was prepared by
